END-USER LICENSE AGREEMENT FOR RSP SOFTWARE

IMPORTANT-READ CAREFULLY: This RSP SOFTWARE End-User License Agreement is a legal
agreement between you (either an individual or a single entity) and RSP SOFTWARE
for the RSP SOFTWARE software product(s) identified above which may include help
files , samples projects available to download in the homepage or any other product.
By installing, copying, or otherwise using and testing the SOFTWARE PRODUCT, you
agree to be bound by the terms of this agreement.

If you do not agree to the terms of this agreement, do not install or use the
SOFTWARE PRODUCT.

Any reproduction or redistribution of the Software not in accordance with the
License Agreement is expressly prohibited by law, and may result in severe
civil and criminal penalties.

Your rights and obligations with respect to the use of this Software are as follows
You may :
I - Install the OCXs or other development tools and use it in your projects
II - Create commercial applications using the controls and distribute it with
your executables , no royalties required
III - Create as many applications as you want
IV - Receive support by e-mail to answer questions and solve problems referred
to the controls and free upgrades for two years
You may not :
I - Create ActiveX OCX , DLLs , or any other derivative tools to be used at
design mode in VB , VC++ or any other development tools .
II - Distribute the REGISTERED OCX INSTALLATION program or the license key in
any way.
III - Create compiled OCX or DLL without requiring the license key , but to be
used at design mode.
IV - Reverse engineer, decompile, disassemble, modify, translate, make any
attempt to discover the source code of the Software.

This software is not sold , this software is licensed

RSP SOFTWARE grants a license to use the enclosed software to the original purchaser.

Copies may be made for back-up purposes only. Copies made for any other purpose
are expressly prohibited, and adherence to this requirement is the sole
responsibility of the purchaser.

Customer written executable applications containing embedded RSP SOFTWARE
products may be freely distributed , without royalty payments to RSP SOFTWARE ,
provided that such distributed RSP SOFTWARE product is bound into these
applications in such a way so as to prohibit separate use in design mode,
and that such RSP SOFTWARE product is distributed only in conjunction with
the customers own software product.

The RSP SOFTWARE controls may not be distributed by itself in any form.

Our controls may be used as a constituent control only if the compound control
thus created is distributed with and as an integral part of an application.
Permission to use this control as a constituent control does not grant a right
to distribute the license file or any other file other than the control
executable itself. This license may be transferred to a third party only
if all existing copies of the software and its documentation are also transferred.

This product is licensed for use by only one developer at a time.

RSP SOFTWARE Software expressly prohibits installing this product on more than
one computer if there is any chance that both copies will be used simultaneously.

This restriction also extends to installation on a network server, if more than
one workstation will be accessing the product, all developers working on a project
which includes a RSP SOFTWARE product, even though not working directly with the
RSP SOFTWARE product , are required to purchase a license for that RSP SOFTWARE
product , contact RSP SOFTWARE to purchase a multi-user license.

You may never distribute the license file or unlock code .

You may not change the product in any way that removes or changes the requirement
of a license file.

We encourage the use of our controls as constituent controls when the compound
controls you create are an integral part of your application.

But we don\'t allow distribution of our controls as constituents of other controls
when the compound control is not part of an application.

The reason we need to have this restriction is that without it someone might decide
to use our control as a constituent, add some trivial (or even non-trivial)
enhancements and then sell the compound control.

Obviously there would be little difference between that and just plain reselling
our control.

The shareware versions of our products are intended for evaluation purposes only.
You may not use the shareware version to develop completed applications.

RSP SOFTWARE SOFTWARE\'S LIABILITY IS LIMITED TO THE PURCHASE PRICE. Under no
circumstances shall RSP SOFTWARE or the authors of this product be liable for
any incidental or consequential damages, nor for any damages in excess of the
original purchase price.

THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE PRODUCT REMAINS
WITH YOU.

NO LIABILITY FOR CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL RSP SOFTWARE OR ITS
SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL
DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS
